Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CaribGO Delivery Portal (the "Service"), operated by Caribbean Commerce Ltd ("CaribGO", "we", "us"), a company registered in Saint Kitts and Nevis. By creating an account or using the Service you agree to these Terms.
1. Definitions
- Merchant — a company approved to use the Service to request deliveries.
- User — an individual authorised by a Merchant to access the Service.
- Recipient — a person to whom a Merchant sends a delivery.
- Delivery — a request submitted through the Service and fulfilled via our dispatch and courier partners.
2. Eligibility and accounts
The Service is for business use. Company accounts are subject to approval. You are responsible for keeping login credentials secure and for all activity under your account. Notify us promptly of any unauthorised use.
3. Merchant responsibilities
- Provide accurate, complete recipient and delivery information. Inaccurate addresses or contact details may cause failed deliveries.
- Ensure you have a lawful basis to provide recipient personal data to us for the purpose of arranging delivery.
- Only request delivery of lawful goods. Prohibited items include (without limitation) illegal substances, weapons, hazardous materials, and anything whose carriage is unlawful in Saint Kitts and Nevis.
- Use the Service in compliance with applicable law and these Terms.
4. The Service
We coordinate deliveries through third-party dispatch and courier providers. We use reasonable efforts to fulfil deliveries within requested windows but do not guarantee specific delivery times, which depend on factors including driver availability, weather, and traffic. Delivery windows and ASAP lead times are described in the Service.
5. Fees and payment
Delivery fees are set per Merchant and shown on each request; the fee is fixed at the time the request is created. Where invoicing is enabled, charges are billed on a monthly basis. Card payments, where offered, are processed through our payment gateway provider. Invoices are due within the period stated on the invoice. We may suspend the Service for accounts with overdue balances after reasonable notice.
6. Acceptable use
You must not misuse the Service, including by attempting to disrupt it, gain unauthorised access, submit unlawful or fraudulent requests, or use it to harass any person. We may investigate and take action, including suspension, for suspected violations.
7. Intellectual property
The Service, including its software, design, and content (excluding data you submit), is owned by Caribbean Commerce Ltd and protected by applicable law. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended business purpose.
8. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Caribbean Commerce Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data. Our total aggregate liability arising from or related to the Service will not exceed the delivery fees paid by the Merchant for the deliveries giving rise to the claim in the three (3) months preceding the event.
10. Indemnity
You agree to indemnify and hold harmless Caribbean Commerce Ltd from claims, damages, and expenses arising out of your use of the Service, your breach of these Terms, the contents of items sent for delivery, or your provision of recipient personal data without a lawful basis.
11. Suspension and termination
We may suspend or terminate access for breach of these Terms, non-payment, or unlawful use. You may close your account at any time by contacting us. Certain provisions (including fees owed, disclaimers, limitation of liability, and indemnity) survive termination.
12. Governing law
These Terms are governed by the laws of Saint Kitts and Nevis, and the courts of Saint Kitts and Nevis have exclusive jurisdiction over any dispute, without regard to conflict-of-laws principles.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date and, where appropriate, communicated to account holders. Continued use of the Service after changes take effect constitutes acceptance.
